Russian Yandex has changed its legal entity. As of January 22, 99.99% of Yandex LLC, instead of the Dutch Yandex NV, is owned by the international company Yandex JSC, according to data from the Kontur.Focus service.

The remaining 0.01% belongs to the International Foundation “Public Interest Fund”. MCAO “Yandex” was founded on December 27, 2023. The structure received registration in a special administrative region on Oktyabrsky Island, on the so-called Russian coast.

It was previously reported that the Russian assets of the Dutch company Yandex NV will be transferred to Yandex MCAO and will also receive new owners, among whom there may be Russian financial and industrial magnates.

In October, in preparation for corporate restructuring, which has been underway since 2022, several Russian LLCs owned by Yandex came completely under the control of the Dutch joint-stock company Yandex NV

Previously, companies belonged to other legal entities registered in the Netherlands or Switzerland. The Yandex press service later explained to RB.RU that the changes “are a technical procedure to optimize the structure of legal entities of a group of companies.”

In January it emerged that potential investors in Yandex’s Russian business, including Vladimir Potanin and Vagit Alekperov, called for a review of the size of the options package for the company’s corporate development advisor, Alexei Kudrin. The former head of the Accounts Chamber, Kudrin, moved to Yandex in 2022. It was assumed that for his help in the division of the business he would receive 5% of the shares.
