TKS Holding has become the owner of 99.4% of Rosbank’s capital, according to a statement posted on the website of the Corporate Information Disclosure Centre.

TKS Holding has purchased 1.42 billion shares of Rosbank. Thus, taking into account affiliated organisations, TKS Holding has gained control of 99.4% of Rosbank.

“Taking into account the premium between the announced value of the group’s shares for the additional issue of 3,423.62 rubles and the current quotes of TKS shares, the actual multiplier for the acquisition of Rosbank amounted to 0.8 of its total capital,” the press service of T-Bank noted.

TKS Holding has also submitted an offer to the Central Bank to buy the remaining 0.6% of Rosbank’s capital. The holding has undertaken to disclose the details of the transaction on August 20 as part of the publication of its financial statements for the first half of 2024.

The fact that T-Bank (formerly Tinkoff Bank) was considering merging with Rosbank first became known in March 2024. Subsequently, Tinkoff valued Rosbank at 1.05 equity.
