Wildberries added a clause to the updated offer on the right to assign its rights to third parties. The version of the offer was submitted on Tuesday, July 23.
Under Clause 8.12, the Marketplace’s rights against the Seller under the Contract, including demands for payment of penalties and compensation for losses, may be assigned by the Marketplace to third parties without obtaining the Seller’s prior consent.
“Wildberries is entitled to transfer its entire rights and obligations under the agreement to RVB LLC,” the offer says.
RVB LLC is a joint venture between Wildberries and the Russ Group. The company was established on July 4, 2024, its CEO is Robert Mirzoyan, CEO of the Russ Group. 26 assets of Wildberries were transferred to the joint venture. In the new legal entity, Wildberries owns 65%, the remaining 35% belongs to a structure owned by the Russ Group.
On July 23, Chechen leader Ramzan Kadyrov wrote a post on his Telegram channel in which he spoke (according to Wildberries founder Tatyana Bakalchuk’s husband, Vladislav) about the “frank and shameless takeover” of Wildberries.
Later, Tatyana Bakalchuk herself said that “there is no catch, it’s a scam.” The market’s press service also noted that “details of the divorce proceedings and emotional details are of no interest to business publications.”
