Technoserv Group has existed since 1992, it was founded by the Ananyev brothers. The structure acted as the largest integrator, whose clients were government agencies, including the migration service and Rosreestr, as well as companies in the field of telecommunications, transport, trade and finance.
Tekhnoserv Group LLC was founded in 2016; in 2018, Ananyev launched another company, TS-Holding, which received 40% of the LLC.
From 2018 to 2020, TS-Holding owned the main assets of the company. Its structure included TKS Technology, TSK LLC, TS Integration, Reksoft Group and others.
Since 2018, 40% of Technoserv is owned by VTB, along with the right to elect representatives to the board of directors and the opportunity to participate in company management.
Ananyev owned a 10.01% stake in Technoserv through Cyprus-registered Anavoya Holdings Limited, which was sold in 2019. The businessman remained the owner of 49.99% of the shares, but by that time they were already pledged to VTB.
According to the court case file cited by RBC, in 2018 Technoserv AS entered into a loan agreement with the state bank to issue a loan with a limit of 7.4 billion rubles.
In 2021, the debt to VTB reached 104 million rubles, which was sold due to non-payments.
In the same year, the group carried out a corporate restructuring, as a result of which the T1 brand appeared and T1 LLC became the parent company of the entire holding.
Today Ananyev owns 50% of Technoserv Group, VTB’s share is 40%. The remaining 10% belongs to Multikarta, which the holding bought from Russian Post.
Since Technoserv Group became a guarantor of Technoserv AS under a loan agreement with VTB in 2018, Technoserv’s bankruptcy may be associated with non-payment of the debt, says Albina Galimova, a leading lawyer in the dispute resolution practice of the EDB law firm.
