There are several scenarios for the development of events. Sources familiar with the situation say that the parent bank will receive not only the retail business of the acquired structure, but also the corporate business, “otherwise the capital cannot be transferred.”
According to another source, Rosbank will remain a branch of T-Bank.
“According to the same scheme they attached “Rusfinancebank» and “Delta Credit”. That is, the internal branch has its own balance sheets and is legally linked to T-Bank,” says a source at RBC.
The press services of these credit institutions told reporters that the strategy of integrating the two banks is being implemented through a branch. This issue will be discussed at the board meetings on September 13. The merger process could be completed in the first quarter of 2025.
“Creating a unified structure by merging Rosbank into a branch format is the most effective and transparent option that allows for maximizing the value of the business for shareholders as quickly as possible,” says Alexey Malinovsky, Head of the Board of Directors of TKS Holding.
T-Bank’s parent company became the owner of 99.4% of Rosbank’s capital in mid-August. As part of the deal, one bank bought 1.42 billion shares of another bank. TKS Holding intends to buy the remaining part and has already sent a corresponding offer to the Central Bank.
