PJSC Svetofor Group, the legal entity of the developer of an online platform for driver training, sold about 2.5 million shares to IFC Solid in preparation for its IPO.

The company sold the securities to a broker for subsequent offering to an unlimited number of persons on the St. Petersburg Foreign Exchange Exchange (SPVB). Interfax writes about this with reference to the decision of the company’s board of directors of May 13.
Under the terms of the agreement, the group sells to the broker Solid 2 million 481 thousand 500 preferred shares at a price of 56.25 rubles per share. The broker himself will pay for the shares with the proceeds of sales on the SPVB exchange. The work must be paid before May 31 inclusive.
If during the auction it is possible to realize the entire volume of the offer, the company will earn 139.58 million rubles from the placement. At the same time, the proportion of shares in free float will be 10%.
If the planned volume cannot be reached, the broker will return the remaining shares to the issuer by June 7, 2024.
As follows from the financial statements of PJSC for 2023, the authorized capital of the company consists of 24 million 815 thousand 000 shares with a nominal value of 1 ruble. Of this amount, 2 million 481 thousand 500 pieces are privileged.
Based on the authorized capital, the company estimates its own value on the eve of the IPO at almost 1.4 billion rubles.
The company was founded in 2010, then called “PDD.TV”, in 2019 it was transformed into PJSC “Svetofor Group”.
In 2014, the company began to develop an interactive online training system, which also takes into account the psychophysiological characteristics of the user. Svetofor Group also produces educational solutions based on VR technology.
The company is headquartered in Skolkovo. At the end of 2023, the Svetofor group increased its revenue to 461.7 million rubles (+48.6%).
