More than 51% of the IT Prom software developer controlled by VK was received by a key employee of this company, who at the same time works as the general director of one of the Zapsibgazprom structures, former MP Mikhail Slipenchuk has learned RB.RU. VK has described the deal as technical.

The head of the VK holding company, Alexander Kiryanov, received 51.1% of IT Prom LLC, another 48.9% of the software developer belongs to Digital Transformation Plus LLC, while 99% belongs to VK LLC. The change of shares took place on August 14, 2024, according to data from the Unified State Register of Legal Entities, reviewed by RB.RU.
The company confirmed that it had transferred a majority stake in IT Prom to Kiryanov.
“This is a technical agreement in which a key employee becomes one of the founders of a software development company. This practice is standard in the market,” the press service of the Internet giant explained to RB.RU.
As of August 14, IT Prom was 99.9% owned by Digital Transformation Plus LLC, of which 90.1% was owned by its founder Elena Bagudina, CEO of VK, and 9.9% was owned by VK. Since August 14, 99% of the company has been owned by VK LLC and 1% by Bagudina.
- In July 2024, VK also transferred another LLC, Digital Education (developer of the Sferum platform), which previously belonged to VK LLC, to Digital Transformation Plus. In May, VK acquired full control of this company and received a small stake from Rostelecom of 0.59%.
- Bagudina, together with VK, also founded VK Digital Technologies LLC, which as of December 2021 became the property of Digital Transformation Plus LLC. In 2023, this structure received a government contract worth almost 1 billion rubles to transfer Telegram and Zoom officials to the national combined service of its own development.
Alexander Kiryanov works not only at VK. According to Kontur Focus, the specialist heads a structure owned by Zapsibgazprom-Investments LLC (which is engaged in venture investments) – First Suture Company LLC (which produces medicines and medical materials), as well as Cepheus LLC, owned by Andromeda LLC.
The ultimate beneficiary of Zapsibgazprom-Investment is PJSC Zapsibgazprom, the board of directors of which is headed by Professor of Moscow State University Mikhail Slipenchuk. The company is engaged in the construction of industrial and civil facilities, gas pipelines. Slipenchuk is also the owner of LLC GC Metropol, which owns 77% of Zapsibgazprom. Currently, Zapsibgazprom is involved in the construction of a logistics terminal between Russia and China – Nizhneleninskoye-Tongjiang and other major projects. Slipenchuk is also known as a deputy of the State Duma of the Russian Federation of the VI convocation.
