Alexander Shalamov, who is involved in the liquidation of companies with foreign participation in Russia, has become the new general director of IHerb ru LLC, the Russian subsidiary of the American health and beauty products market iHerb, as follows from the materials of Kontur. Shalamov has already managed to be a director of about 50 companies, which is why he is included in a special register of the Federal Tax Service. Most of the companies with foreign participation that he ran were liquidated. For example, Shalamov liquidated those registered with the “German House of Economy” in Moscow on Kazachye 1, in the same place as Ayherb ru, Gildemeister LSG Solar Rus LLC, Toshiba Global Commerce Solutions LLC, Raytheon Professional Services LLC » Elements Technology LLC and others.

Most of the companies that Shalamov runs or manages are not profitable. At the end of 2023, iHerb ru also received a net loss of 2.7 million rubles on revenue of 18.1 million rubles. According to the lawyer, it is quite difficult to evaluate how well they carry out the liquidation and how they correctly fill out the necessary documents. If such a person has already been appointed and acts as liquidator, he can close the company, the lawyer believes.

As Evgeniy Pantaziy, member of the Russian Bar Association, clarified to RB.RUAs a rule, liquidators are appointed by legal entities (except in cases where the appointment of a liquidation commission is mandatory), since this is the simplest method of liquidation.

“Any person can be a liquidator, since the legislation does not impose any special requirements. The liquidator can be the general director himself, any employee of the organization, another legal entity or, as a rule, a third-party specialist,” Pantaziy explained.

According to section 4 of art. 62 of the Civil Code of the Russian Federation, from the moment of his appointment, the liquidator is the head of the organization and has all the powers to manage the affairs of the legal entity. The lawyer added that the decision to liquidate the organization precedes the appointment of a liquidator, that is, it is not the appointment of Shalamov as general director of the legal entity that indicates its closure, but the decision of the founders is the confirmation of the liquidation of the legal entity.

You can check the status of a legal entity, that is, whether it has been decided to liquidate it, on the official website of the Federal Tax Service of Russia or in the online service for quickly checking counterparties. So far, the Federal Tax Service has not received any information about the possible liquidation of the Russian structure of iHerb.
