Ozon shareholders decided to change the jurisdiction (redomiciliation) of the company from Cyprus to Russia, according to a press release from the online retailer.

The company will be registered in a special administrative region of Oktyabrsky Island, Kaliningrad Region, as an international company of Ozon Public Joint Stock Company (MKPAO Ozon).

Ozon expects the redomilation to be completed before the end of 2025, according to a press release. The procedure involves a complete transfer of the shareholding structure to Russia, all shareholders will participate in the redomiciliation on the same basis, the message emphasizes.

The redomiciliation will reduce regulatory risks in the key market, will allow the resumption of the options program to stimulate and retain employees, and will also simplify transactions within the group, the company’s press service notes.

After registering a company in Russia, trading in its securities on the stock exchange will be suspended “for no more than a few weeks,” says Ozon. This is necessary to complete the procedure for converting receipts into MKPAO shares, which will be listed on the stock exchange and available to all investors, which will also be announced by the Moscow Stock Exchange.

In 2025, a shareholder meeting will be convened to approve MKPAO’s bylaws and resolve other legal issues, according to an expanded press release.

The co-owners of Ozon are AFK Sistema (31.76% of the shares) and the investment holding company Vostok Investments, which owns almost 28% of the company’s securities; the rest of the shares are in free circulation.
