The Board of Directors of the Bank of Russia decided to sell VTB 100% of the shares of FC Otkritie, the Central Bank said in a statement.

The parties have already signed an agreement, according to which the transaction price will be 340 billion rubles.

An independent appraiser from DRT JSC estimated the market value of the shares in the range of 328 to 374 billion rubles.

The shares will be paid in cash in the amount of 233 thousand 126.9 million rubles and federal loan bonds, the value of which is 106 thousand 873.1 million rubles.

Ownership of Otkritie shares will pass to VTB no later than December 31, 2022.

According to Interfax, after its sale to VTB and the departure of the current chairman of the board, Mikhail Zadornov, from January 2023, the former deputy chairman of the Central Bank and former head of Unicredit Bank, Mikhail Alekseev, will head FC Otkritie. Bank.

The Bank of Russia became the owner of Otkritie in 2017, having sanitized it with the participation of the Banking Sector Consolidation Fund (FCBS). The fund allocated 456 billion rubles for this.
