Recruitment service HeadHunter announced the buyback of shares and ADSs of Cyprus Headhunter Group PLC. The repurchase price of a security is set at 819.45 rubles, taking into account the “exit tax” of 10%.
The documents are stored outside the Russian infrastructure. Holders are offered two options: buy them back or exchange them for newly issued shares, writes RBC.
The company offered to buy more than 14.64 million (28.9% of the total) if the changes in the bylaws are not approved at the shareholders meeting, and just over 26.68 million (52.7%) if they are approved the changes.
The proposed price already includes the requirement for a 50% discount on the market price of the company’s securities, which was determined by an independent appraiser. The service offer states that it is conditional on the purchase of 20% of the total number of securities, since this “is a requirement for approval by a government commission and obtaining permission from the Office of Foreign Assets Control of the Department of Foreign Affairs of the United States. The Treasury will pay taxes on the sale.”
Upon completion of the offering, the company will list its shares on the Moscow Stock Exchange. At the same time, ADS trading on this site and on the St. Petersburg Stock Exchange will end.
HeadHunter also plans to begin redomiciliation, but this requires the approval of 75% of the paperholders present at the shareholders meeting.

- The decision to change the address was also made earlier by another major Russian player: VK. The company ceased operations in the British Virgin Islands and continued operations in Russia. VK also decided to withdraw from the London Stock Exchange.
