The Russian distributor and manufacturer of electronic products Fplus (formerly Marvel Distribution) intends to sue its founder Sergei Girdin, the former CEO of one of the group’s structures, Konstantin Shlyakhov, and the former search engine Alexey for 2.1 billion rubles. Simulin. The claims may be related to a 1.6 billion ruble contract signed six years ago for the supply of equipment to IT integrator Asteros, which later went bankrupt.
The court left the lawsuit pending until November 24 for formal reasons. The holding company declined to comment, writes Kommersant.
Lawyers claim that such disputes are often encountered in the practice of Russian courts. If the defendants were members of the bodies of the legal entity, they may be held liable if it is proven that they caused losses to the legal entity.
Experts also point out that in such cases the main burden of proving the irrationality and illegality of the activities of the persons considered responsible falls on the plaintiff. Bad faith can be expressed, for example, in the concealment of company documents and information about transactions, as well as in their execution without proper corporate procedures, the lawyers added.
Marvel Distribution was founded in 1991. It was among the 500 largest companies in Russia (RBC), as well as among the 200 largest private companies (Forbes).
After the reorganization of assets and the emergence of the Fplus holding, the owners of its parent structure (F-Plus Equipment and Development) were initially Alexey Melnikov and Vladimir Kornev (50% each). Then Alexey Melnikov consolidated 100% of the company. To date, Sergei Girdin has withdrawn from all assets associated with Marvel, the publication’s interlocutors noted.
