Legal experts attribute Delaware’s popularity for company registration to its friendly laws, but that wasn’t enough for Musk after the court decision.

In January, a Delaware judge found Musk’s Tesla pay package “flawed” and “unfair” and called it “the largest potential compensation opportunity ever seen in the public markets.” The judge also found that Tesla’s board was not independent of Musk, raising the question of whether such a stake was necessary to protect him. Musk’s defenders argue that his unique value justifies an unconventional approach, highlighting his role in Tesla’s growth and influence on the auto industry.
